Influencer Referral Program Terms

1. Introduction

Welcome to the Dolphy Influencer Referral Program (the “Program”). These terms and conditions (“Terms”) govern your participation in the Program. By enrolling in the Program, you agree to be bound by these Terms.

Dolphy (“we,” “us,” or “Company”) reserves the right to modify, suspend, or terminate the Program at any time, with or without notice.

2. Program Overview

The Influencer Referral Program allows approved participants (“Influencers”) to earn commissions by referring new users to Dolphy’s subscription services through approved referral links or codes.

3. Eligibility

To participate in the Program, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have a valid payment account to receive commissions
Comply with all applicable laws and regulations in your jurisdiction
Not be located in a country subject to U.S. economic sanctions or on any U.S. government list of prohibited or restricted parties
Have an active presence on social media, blog, website, or other platform where you will promote Dolphy
Complete the Program application and receive approval from Dolphy

4. Commission Structure

4.1 Monthly Subscriptions

Influencers earn 20% of net subscription revenue for each referred user who subscribes to a monthly plan
Commissions are paid for up to 12 consecutive months per referred user
If a referred user cancels and later resubscribes, the commission period does not reset; it continues from the original referral date

4.2 Annual Subscriptions

Influencers earn 20% of first-year revenue only for each referred user who subscribes to an annual plan
This is a one-time commission paid after the referred user’s payment is successfully processed
No recurring commissions are paid for annual subscriptions

4.3 Net Revenue Definition

“Net subscription revenue” means the gross subscription fees paid by the referred user, minus:

Refunds, chargebacks, and cancellations
Payment processing fees
Applicable taxes
Promotional discounts or credits

5. Tracking and Attribution

5.1 Approved Links and Codes

All referrals must be tracked through your unique referral link or code provided by Dolphy
You may not modify, manipulate, or circumvent the tracking mechanism
Referrals not properly tracked through approved methods are not eligible for commissions

5.2 Attribution Window

A referral is attributed to you if the referred user signs up within 30 days of clicking your referral link
If a user clicks multiple referral links, the last click within the attribution window receives credit

Referral tracking relies on browser cookies and local storage
We are not responsible for tracking failures due to cookie blocking, browser settings, or technical limitations
Users who clear cookies or use incognito/private browsing may not be properly tracked

6. Payout Terms

6.1 Payment Schedule

Commissions are paid monthly, net 30 days
Example: Commissions earned in January are paid by the end of February

6.2 Minimum Payout Threshold

A minimum balance of $50.00 USD is required to receive payment
Balances below the threshold carry over to the next payment period until the minimum is reached

6.3 Payment Methods

Payments are made via bank transfer, PayPal, or other methods designated by Dolphy
You are responsible for providing accurate payment information
Payment processing fees may be deducted from your commission

6.4 Tax Responsibility

You are solely responsible for any taxes on commissions earned
For U.S.-based Influencers earning $600 or more annually, Dolphy will issue IRS Form 1099-NEC
International Influencers may be required to complete Form W-8BEN or other tax documentation

7. Prohibited Activities

Participation in the Program is subject to the following restrictions:

7.1 Self-Referrals

You may not refer yourself or create accounts for the purpose of earning commissions
Self-referrals or fraudulent referrals will result in immediate termination and forfeiture of all commissions

7.2 Fraudulent or Misleading Promotion

You may not:

Make false, misleading, or deceptive claims about Dolphy or its services
Engage in spam, unsolicited email marketing, or other illegal promotional activities
Use paid search advertising that bids on Dolphy’s brand terms or trademarks
Impersonate Dolphy or claim to be an official representative
Use tactics that manipulate or coerce users into signing up
Violate any platform’s terms of service (e.g., Instagram, YouTube, TikTok) in your promotional activities

7.3 Trademark and Intellectual Property

You may use Dolphy’s name, logo, and approved marketing materials only as authorized
You may not register domain names, social media handles, or other identifiers that include “Dolphy” or similar marks
All intellectual property rights remain with Dolphy

7.4 Coupon and Deal Sites

Unauthorized posting of Dolphy referral links or codes on coupon or deal aggregation sites is prohibited without prior written approval

8. Program Changes and Pricing

8.1 Commission Rate Changes

Dolphy reserves the right to modify commission rates for future referrals with at least 30 days’ notice
Changes do not affect commissions already earned or currently accruing from existing referrals

8.2 Subscription Price Changes

Dolphy may change subscription pricing at any time
Your commission percentage remains fixed at 20%, but the dollar amount will reflect the new pricing for new subscribers

8.3 Program Modifications

We may modify these Terms, add or remove features, or change Program requirements at any time
Continued participation after changes constitutes acceptance of the modified Terms

9. Termination

9.1 Termination by Dolphy

Dolphy may terminate your participation in the Program:

For violation of these Terms
For fraudulent, abusive, or unethical conduct
At our discretion with 30 days’ written notice
Immediately for cause, without notice

9.2 Termination by Influencer

You may terminate your participation at any time by providing written notice to Dolphy.

9.3 Effect of Termination

Upon termination, you must immediately cease all promotional activities
Commissions earned prior to termination will be paid according to the standard payment schedule
Unpaid commissions below the minimum payout threshold will be forfeited 60 days after termination
You must remove or disable all referral links and cease use of Dolphy’s intellectual property

10. Relationship of Parties

Participation in the Program does not create an employment, agency, partnership, or joint venture relationship
You are an independent contractor solely responsible for your promotional activities
You have no authority to bind Dolphy or make commitments on its behalf

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DOLPHY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
DOLPHY’S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM
DOLPHY IS NOT RESPONSIBLE FOR TECHNICAL ISSUES, TRACKING FAILURES, PAYMENT PROCESSING DELAYS, OR THIRD-PARTY SERVICE INTERRUPTIONS

12. Indemnification

You agree to indemnify and hold harmless Dolphy, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

Your breach of these Terms
Your promotional activities
Your violation of any law or third-party rights
Any fraudulent or misleading representations

13. Compliance with Laws

You must comply with all applicable laws and regulations, including:

FTC guidelines requiring disclosure of material connections (e.g., #ad, #sponsored)
GDPR and other data privacy laws
Platform-specific advertising and disclosure rules
Tax reporting and payment obligations

14. Confidentiality

You agree to keep confidential any non-public information about the Program, including:

Specific commission rates and payment structures
Performance metrics and analytics
Proprietary business information

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from the Program shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and Dolphy regarding the Program.

16.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent.

16.5 Amendments

We may amend these Terms at any time by posting the revised version on our website. Continued participation constitutes acceptance.
